1. Purpose of Agreement
The purpose of this Agreement is to define the terms under which BillBite shall provide offer-based marketing services to the Client, including design, promotion, and support of offers, vouchers, memberships, and related solutions.
2. Scope of Services
- Offer, voucher, coupon, and membership system design
- Digital and print-ready creatives
- Offer listing on the BillBite platform (where applicable)
- Backend and customer support assistance
The exact scope shall depend on the plan/package chosen by the Client.
3. Offer Design & Approval
- All offers are designed in consultation with the Client.
- The Client is responsible for verifying and approving:
- Offer details
- Pricing
- Validity
- Terms & conditions
- Once approved, any modification may attract additional charges or timeline changes.
4. Client Responsibilities
- Honor all finalized offers sold or promoted
- Deliver services/products as promised in the offer
- Follow applicable laws and regulations
- Handle customer service at their business location
BillBite shall not be responsible for disputes between the Client and end customers.
5. Payments & Commercial Terms
- The Client agrees to pay fees as per the selected plan.
- All payments made are non-refundable, unless otherwise agreed in writing.
- Delay in payment may result in delayed or suspended services.
6. Design & Printing Policy
- BillBite provides design and print-ready files only.
- Printing, distribution, and material usage are the Client’s responsibility unless included in the plan.
- BillBite is not responsible for errors after design approval.
7. Offer Listing Policy
- Offer listing is provided free of cost, subject to approval.
- Listing does not guarantee customer traffic or sales.
- BillBite reserves the right to modify or remove listings if required.
8. No Guarantee Clause
- Sales or revenue
- Customer response
- Business growth or profit
Results depend on market conditions and business execution.
9. Intellectual Property Rights
- All designs, systems, and materials remain BillBite’s intellectual property.
- The Client may use them only for their own business promotion.
- Resale or redistribution without written permission is prohibited.
10. Confidentiality
Both parties agree to keep confidential all business information, pricing, designs, and internal processes shared during the engagement.
11. Termination
- Terms are violated
- Offers are misused
- False commitments are made to customers
- Unethical or illegal activities are detected
No refunds shall apply in such cases.
12. Limitation of Liability
- Business losses
- Loss of profit or opportunity
- Customer dissatisfaction
- Indirect or consequential damages
Use of services is at the Client’s own business risk.
13. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India and all disputes shall be subject to the jurisdiction of the Service Provider’s registered office.
14. Entire Agreement
This Agreement constitutes the complete understanding between the parties and supersedes all prior discussions or communications.
15. Acceptance
By signing below or by digital acceptance, the Client confirms agreement to all terms mentioned above.
